BOARD OF DIRECTORS MEETING
MINUTES FOR Thursday, February 25, 2021

The Lakewood Board of Directors meeting was called to order by President Eric Koppa at 6:47 PM.
1. Roll Call:

Absent Steve Hensen – Vice President

2. APPROVAL OF MINUTES:
Amendment to February 4, 2021 minutes. Change from Stephanie Anderson to Amy Volkmann for researching additional landscape bids for Lakefront approval of minutes section 2 referring to minutes of December 17, 2020. Amendment to treasurer’s report 1099’s sent last week of January 25, 2021.
Eric Koppa made a motion to approve February 4, 2021 minutes with amendments. Seconded by Carin Tio. Ayes: Koppa, Volkmann, Geiger, Tio, Palumbo, Anderson Nays: None Motion Carried

3. OLD BUSINESS:
Century Fence – Tabled as Steve Hensen not present. Gate Maintenance – Stephanie Anderson to request maintenance of the fence for Spring maintenance. Gate was not maintained last year due to COVID. We need a 2020 quote for 2021 as we don’t have one for this year.

Lakefront Lawn Care: The lakefront lawn care was voted by email. See attached. Scott Geiger told the board his quote was mailed to Amy Volkmann before seeing the rest of the quotes. Eric Koppa commented that Scott Geiger would classify as a dual-capacity board member and would abstain from the lakefront lawn care vendor vote as a board member with a conflict of interest. Furthermore it was the opinion of Koppa that Geiger has a vested interest in the care and upkeep of the park as a full time resident of Lakewood and was qualified after a 20 year career in public works for the City of Milwaukee, Wisconsin. Geiger would also carry the additional liability insurance on his person and equipment as a dual-insured owner-operator.

Vote:
Steve Hensen – not present. Eric Koppa – Scott Geiger, Beach cleaning would remain the same Tuesday and Friday Ginny Palumbo – Northern Bay -Hiring Scott Geiger would be a conflict of interest as he would be a paid vendor and is also a paid board member. Stephanie Anderson – Scott Geiger Amy Volkmann – Scott Geiger Carin Tio – Scott Geiger
Scott Geiger voted in by board as a vendor to maintain the lakefront for 2021 year.

Annual Meeting Update – invoices, proxies, bios, board member recruitment. Eric Koppa will send Carin Tio’s bio to Stephanie Anderson for the mailing. Need to reach out to other homeowners to run for the board. Eric Koppa will reach out to Norm and Judy Hampson, who were previous Lakewood POA board members and officers.

4. SECRETARY REPORT:
Ginny Palumbo spoke with Troy at Vacasa, February 9, 2021. Troy was asked to stop sending letters to all Lakewood Homeowners. Troy said he was unable to take off everyone from the list unless they called to be removed.

All addresses from last year’s return to sender envelopes returned have been updated with new addresses. Ginny Palumbo has also updated the addresses we have received through email.

Eric Koppa would like the rules updated on the website to include no short term rentals.

Eric Koppa made a motion to add rule no short term rentals. “No short term rentals are allowed less than 12 months in term.” Seconded by Ginny Palumbo

5. TREASURER REPORT:
We have a balance of $4,225.00 in liens. Liens as of 2/25/2021

Eric Koppa has not completed the title search for the Brzoski property. He will finish the investigation and report to the board his findings at the next board meeting.

Stephanie Anderson researched PayPal sending invoices on behalf of Lakewood. There is a fee associated with this.

6. NEW BUSINESS:
Spring open –
a. Opening main gate when snow melts after the gate has been realigned
b. Port a Potty – Stephanie Anderson to request bid.
c. Main Gate realignment – Stephanie Anderson to contact gate company.
d. Scott Geiger said 4 trees by the playground need to come down.
e. Wooden signs, swings to be up. Scott Geiger will handle.
f. Eric Koppa requested quotes for retaining wall at the lake. Hinz, Fenner or Property Works was suggested. Scott Geiger to contact.
g. Need additional fencing on the North end of the lakefront park.
Someone pushed in the fence to get down to the lakefront. North side wooden fence has been damaged and you see the footpath being used. Eric Koppa has researched cameras to monitor off season and evening of the front gate. Cost estimate is approximately $300 per camera.

Annual Taxes – fiscal year ends March 31, 2021. Stephanie Anderson to take care of sending information.

May 1, 2021 will be the annual meeting. Start time is 10:00 AM.

Eric Koppa made a motion to adjourn at 8:16 PM. Seconded by Scott Geiger.

Eric’s comments:
After researching the Bylaws, I would highlight Article VI, Section 6.01 (b) employ a manager, an independent contractor or such other employees as they deem necessary, and to prescribe their duties.
This article is clear in it’s designation of the board’s right and responsibility to hire employees “as they deem necessary, and to prescribe their duties.” Whether Scott Geiger was on the board or not, his employment would be recommended given his 20 years of experience in public works for the city of Milwaukee, his proximity to the lakefront and access as a permanent resident of Lakewood to the lakefront at all times, and his ability to carry additional insurance coverage for his equipment and person.

I would also highlight the board’s responsibility in Article VI, Section 6.01 (d) supervise all officers, agents and employees of the Association and see that their duties are properly performed;

Scott would be held to the same standard of any employee or vendor of Lakewood.

I would also highlight the board’s responsibility in Article VI, Section 6.01 (l) procure and maintain adequate liability and casualty insurance to protect the Association, its employees and its personal and real properties; The Association has liability insurance and would acknowledge Scott Geiger’s certificate of insurance as additional liability coverage for his person and equipment while performing work for the Association.

Lastly, I would highlight Article VII, Section 7.06 The officers shall have such duties and functions as are generally held or performed by such officers in business corporations, and such additional duties and functions as may be established by the Board of Directors. Additional officers and assistant officers shall have charge of and shall perform such duties as may be authorized by the Board of Directors and assigned to them by the President.

*This was not discussed during the meeting, but discussed between Erica Koppa and Amy Volkmann during a private email. Eric Koppa wanted these added to the minutes.
